Terms of Service

These terms cover the Deska desktop application and the Deska Cloud services that support it. Deska is built around a local-first model, with optional account, billing, and managed AI features.

Agreement to these terms

These Terms of Service ("Terms") are a binding agreement between you and Pasho ("Deska," "we," "us," or "our"). They govern your use of the Deska desktop application, the Deska Cloud website, account services, paid plans, managed AI features, and related services that link to these Terms (together, the "Services").

By accessing or using the Services, you agree to these Terms and our Privacy Policy. If you use the Services for an organization, you represent that you have authority to bind that organization. If you do not agree, do not use the Services.

Eligibility and accounts

You must be at least 18 years old and legally able to enter into this agreement. The Services are designed for developers and professional workflows, not for children.

Some features require a Deska Cloud account. You must provide accurate information, protect access to your account, and promptly notify us at [email protected] if you believe your account has been compromised. You are responsible for activity performed through your account.

What Deska provides

Deska is a spatial desktop development environment for working with terminals, files, editors, browsers, documents, Git repositories, and AI tools. The desktop application is local-first: workspace files, terminal state, layouts, locally configured credentials, and AI session files generally remain on your device unless you choose a feature that sends data elsewhere.

Deska Cloud provides the website, account and entitlement services, billing integrations, and, when enabled for your plan, managed AI features. Features may be experimental, unavailable in some environments, or changed as the product evolves. A description on a roadmap or marketing page is not a guarantee that a feature is generally available.

AI services and BYOK

Deska supports bring-your-own-key ("BYOK") workflows, available with a lifetime license (free and subscription plans use managed AI rather than your own keys). When you configure a third-party AI provider credential or connect a provider account, your prompts, files, audio, tool results, and other content may be sent directly to that provider at your instruction. Your use of that provider is also governed by its own terms and privacy policy. You are responsible for your provider account, credentials, charges, and choices.

Certain plans may offer managed AI features that route content through Deska Cloud to an AI provider using credentials managed by us. Managed features may have quotas, rate limits, provider restrictions, or fair-use limits. We may change those limits to manage cost, reliability, abuse, and provider availability.

AI output can be incorrect, incomplete, insecure, or unsuitable for your intended use. Coding agents and terminal tools may read files, run commands, modify data, or interact with external systems when you instruct or authorize them to do so. Review outputs and diffs, maintain backups, use appropriate approvals, and do not rely on AI output as a substitute for professional advice or human review.

Plans, billing, and taxes

Deska may offer free, recurring subscription, and one-time lifetime plans. Current plan details are shown at checkout. Unless the checkout page states otherwise:

  • Subscriptions renew automatically until canceled.
  • You can cancel a subscription through the available billing portal. Cancellation takes effect at the end of the current paid billing period.
  • A lifetime plan is a one-time, account-linked entitlement to the covered Deska features, subject to these Terms. It is not a promise that every future product, external provider service, or managed inference resource will be included forever.
  • Lifetime access may be cached locally for offline use. You are responsible for keeping a working installation and any locally stored entitlement data.

Payments are processed by Stripe. Prices may exclude taxes unless checkout says otherwise. You authorize Stripe and us to charge the applicable amounts, including taxes. Except where required by law or expressly stated at purchase, fees are non-refundable. Contact [email protected] for billing questions. Nothing in these Terms limits mandatory consumer rights that apply to you.

Your content and credentials

You retain your rights in files, prompts, code, documents, audio, and other content you provide or process through the Services ("Your Content"). You grant us a limited right to process Your Content only as needed to provide, secure, maintain, and support the feature you choose.

You represent that you have the rights and permissions needed to use Your Content with the Services and with any third-party AI provider you select. Do not place secrets, personal data, regulated data, or confidential information into an AI workflow unless you have evaluated the provider and configured the workflow appropriately.

You are responsible for protecting API keys, OAuth credentials, locally stored entitlement tokens, and other credentials. Deska attempts to store certain BYOK credentials using operating-system-backed encryption when available, but no storage method is risk-free and some environments may not provide encrypted storage.

Acceptable use

You may not use the Services to:

  • break the law or violate the rights of others;
  • access systems, accounts, or data without authorization;
  • distribute malware, exploit vulnerabilities, or disrupt the Services;
  • bypass plan limits, entitlement checks, security controls, or rate limits, or share paid account access outside its intended use;
  • submit content that infringes intellectual property, privacy, confidentiality, or contractual rights;
  • use the Services to build or operate unlawful surveillance, discrimination, fraud, or harmful automated decision-making systems; or
  • resell or commercially exploit Deska Cloud without our written permission.

Security research must be conducted responsibly and without accessing other users' data or degrading the Services. Report suspected vulnerabilities privately to [email protected].

Third-party services

The Services can integrate with third parties, including authentication, payment, hosting, error-reporting, source-control, update-distribution, and AI providers. Third parties operate under their own terms. We do not control and are not responsible for third-party services, content, availability, security, or charges.

Embedded browser panels and terminals can reach external services at your direction. Treat them like the corresponding browser or shell tools on your computer.

Intellectual property

The Deska desktop application, Deska Cloud, paid-service functionality, branding, visual assets, and other materials remain owned by us or our licensors. Any third-party components bundled with the application remain subject to their own applicable licenses.

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable right to download and use the application and Services for their intended purpose. No other rights are granted.

If you send feedback, you allow us to use it without restriction or compensation, but you do not transfer ownership of Your Content.

Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access to Deska Cloud if you materially breach these Terms, create security or legal risk, fail to pay amounts due, abuse provider resources, or if continued service is no longer reasonably practicable.

Termination may affect cloud-dependent features. Software already installed locally remains governed by the license under which it was provided. Provisions that by their nature should survive termination will survive, including payment obligations, intellectual property provisions, disclaimers, and liability limits.

Disclaimers

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE.

We do not warrant that the Services, AI output, third-party integrations, updates, or offline entitlements will always be available, uninterrupted, secure, or error-free. The Services are developer tools and are not designed for safety-critical use.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, Pasho AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, ARISING OUT OF OR RELATED TO THE SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE GREATER OF EUR 100 OR THE AMOUNT YOU PAID US FOR THE SERVICES DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

These limitations do not apply where liability cannot lawfully be excluded or limited, including mandatory consumer protections and liability for intent, gross negligence, or injury to life, body, or health where applicable law requires otherwise.

Changes to the Services or Terms

We may update the Services and these Terms as the product, providers, and law evolve. If we make material changes, we will provide reasonable notice through the Services, the website, or another appropriate channel. The "Last updated" date shows when these Terms were most recently revised.

Continued use after revised Terms become effective means you accept them. If you do not agree to a revision, stop using the affected Services. Changes do not reduce rights you already have under mandatory law.

General

These Terms and the Privacy Policy form the agreement between you and us for the Services, except where additional written terms apply. If one provision is unenforceable, the remaining provisions remain effective. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent. We may assign them in connection with a reorganization, merger, acquisition, or sale of assets.

To the extent permitted by law, these Terms are governed by the laws of Mexico, without regard to conflict-of-laws rules. Mandatory protections and forum rights available to consumers in their country of residence remain unaffected.
